NEXUS AI TERMS OF SERVICE

Effective Date: 30th of October 2024 Nexus AI is an AI-powered software as a service (SaaS) and on-demand digital services platform. These Terms of Service ("Terms") govern your use of the Nexus AI website, platform, software, services, and any associated content (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with these Terms, please do not use our Services.

1. Services Overview

Nexus AI offers the following services:

AI-powered SaaS tools: These include email marketing tools, funnel builders, chatbots, ad creators, and various other AI-driven software applications.

On-Demand Fulfillment Services: Including but not limited to website or funnel builds, support chat bot setup, enterprise-level projects, and social media advertising.

Subscription Plans: Our Services are provided on a subscription basis, with monthly plans and annual plans available.

Unless specified otherwise, these Terms apply to all Services provided by Nexus AI.

2. Eligibility

To use our Services, you must:

Be at least 18 years of age.

Have the legal capacity to enter into a binding agreement.

Agree to comply with all applicable laws and regulations.

To use all features of the Services, you must create an account. You agree to provide accurate and complete information when registering and to keep this information up-to-date. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4.1 Subscription Plans

Our AI-powered SaaS tools are offered on a subscription basis, with different plans providing access to various tools and features. Subscription fees are billed on a monthly or yearly basis.

Refundand cancellations for subscription fees are governed by our Cancellation and Refund Policy. Customers must refer to the Cancellation and Refund Policy for detailed terms and conditions regarding refunds, cancellations, and any associated fees. This policy outlines the specific circumstances under which refunds may be granted and the process for requesting a refund. The Cancellation and Refund Policy is available on our website or can be requested from customer support. Please be advised that all in-app purchases made within the Nexus AI platform, including those available across the 40 applications, are strictly non-refundable.

5. On-Demand Fulfillment Services

5.1 Description of Services

On-Demand Fulfillment Services include, but are not limited to, the following:

Simple website or funnel builds

Enterprise website or funnel builds

Social media advertising

Support chat bot setup

5.2 Payment Terms

Payments for On-Demand Fulfillment Services must be made in advance. Prices for these services are specified at the time of purchase.

5.3 Refund Policy for On-Demand Fulfillment Services

Payments for On-Demand Fulfillment Services are refundable within 24 hours of payment, provided that the work on the service has not yet commenced. During this 24-hour period, you may also exchange your selected On-Demand Fulfillment Service for another service offered by Nexus AI. After 24 hours or once work has started, no refunds, credits, or exchanges will be issued.

6. Use of the Services

You agree to use the Services in compliance with these Terms and all applicable laws. The following activities are prohibited:

You will not use the Services for any unlawful purpose, including any activity that could harm others or is prohibited by applicable laws or regulations.

6.2. Interference with Services

You will not attempt to interfere with or disrupt the operation of the Services, including hacking, introducing viruses, or engaging in activities that negatively impact service performance.

6.3. Prohibited Content

You will not upload, post, or transmit any content that is:

Offensive: This includes content that promotes discrimination, hatred, harassment, or abuse based on race, ethnicity, nationality, religion, gender, sexual orientation, disability, or any other characteristic. Offensive content also includes material depicting extreme violence, cruelty, or harmful behavior.

Inappropriate

Inappropriate content includes nudity, sexually explicit material, graphic violence, or any other materials unsuitable for audiences under the age of 18, as well as materials that might be shocking, disturbing, or exploitative.

Violative of Third-Party Rights:

This includes content that infringes on the intellectual property rights, privacy rights, or contractual rights of others. Examples include:

Using copyrighted materials, trademarks, or trade secrets without permission.

Privacy Violations:

Sharing personal information, images, or data without the consent of the individuals involved.

Contractual Violations:

Breaching confidentiality agreements or terms of other legally binding agreements.

Failure to adhere to these guidelines may result in the suspension or termination of your access to the Services.

7. Intellectual Property

All content, software, and materials provided by Nexus AI are the intellectual property of Nexus Ventures Corp Ltd. You are granted a limited, non-exclusive, non-transferable license to use the Services for their intended purpose. This means:

All the content, software, and materials that come with using Nexus AI (such as the software platform, tools, templates, images, and designs) are owned by Nexus Ventures Corp Ltd. This means that while you can use these resources, they are legally the property of Nexus AI and cannot be copied, altered, or redistributed as your own.

7.1.2. Limited License to Use:

When you subscribe to Nexus AI, you get a limited, non-exclusive, and non-transferable license to use these resources:

Limited:

You can use Nexus AI’s tools and materials only as intended within the scope of the platform's services.

Non-Exclusive:

Other customers can also use the same tools and resources; it’s not exclusive to you.

Non-Transferable:

You cannot transfer or sell your access to Nexus AI’s resources to someone else.

7.1.3. Intended Purpose Only:

The license allows you to use Nexus AI's tools for their intended purposes only. For instance, you can use them for creating email campaigns, ads, or other tasks Nexus AI supports, but you can't use or modify the software for other purposes outside of Nexus AI.

7.2. User Content

As a user of Nexus AI, you retain full ownership of any and all content you upload, create, or otherwise submit through the Services ("User Content"). However, by submitting such content, you grant Nexus AI a worldwide, royalty-free, and non-exclusive license to use, reproduce, distribute, and display your User Content solely as necessary to provide, operate, and improve the Services. This license enables Nexus AI to process your User Content in the context of your use of the Services—such as displaying or distributing content through email campaigns, online ads, or other applicable formats. This license is royalty-free, meaning you will not receive fees or royalties for Nexus AI’s limited use of your User Content in this capacity, and it is non-exclusive, allowing you to retain the right to use and license your content freely to other parties.

These Terms shall be governed by the laws of London, United Kingdom. Any disputes arising out of or related to these Terms shall be resolved through binding arbitration in London, United Kingdom, except for matters that may be resolved in small claims court.
